The Management Board of Agora S.A. with its seat in Warsaw (the "Company") hereby informs, that today i.e. on June 28, 2024 the Annual General Meeting of the Company ("AGM") acting pursuant to § 28 and § 29 point 2 of the Company's Statute and pursuant to the provisions of article 368 § 4 of Commercial Companies Code appointed to the Company's Management Board: Bartosz Hojka, Tomasz Jagiełło, Anna Kryńska-Godlewska, Wojciech Bartkowiak, Agnieszka Siuzdak-Zyga and Maciej Strzelecki.
The new, joint five-year term of office will expire on the day the General Meeting of Shareholders approves the financial statements for the fiscal year 2029.
None of the designated members of the Management Board is listed in the Registry of Insolvent Debtors, kept on the basis of the Act on the National Court Registry and does not participate as a board member of other competitive entity or the shareholder of competitive entity or of other legal/capital entity.
In addition, the Management Board informs that on June 28, 2024 pursuant to § 33 point 1 of the Company's Statute the Management Board appointed Mr. Bartosz Hojka to the position of the President of Management Board of the Company.
The present composition of the Management Board is the following:
Bartosz Hojka
President of Agora’s Management Board since March 12, 2014. Member of the Company’s Management Board since June 28, 2013. He supervises Radio and Gazeta.pl Segments, Corporate Sales division, as well as Human Resources, Internal Audit and Corporate Communications departments.
Under his leadership, the Agora Group strengthened its position on the cinema and outdoor market, and became the leader of the digital transformation of the press in Poland due to the "Gazeta Wyborcza’s" success in the area of paid distribution of digital content. The group also developed numerous internet projects, especially in the field of modern online advertising – video and programmatic; Agora also increased its involvement in film production and quickly became a significant distributor – particularly of Polish movies.
Earlier, Bartosz Hojka held the position of the Agora Radio Group’s managing director. He was the creator of such radio brands as Radio Złote Przeboje and Rock Radio, and contributed to achieving the status of one of the most prestigious media in Poland by Radio TOK FM.
Bartosz Hojka sits on the Main Council of the Konfederacja Lewiatan and is a member of the Supervisory Board of WAN-IFRA, the world’s largest organization of publishers.
Tomasz Jagiełło
Since June 28, 2013, a member of Agora’s Management Board. He supervises capital groups of Helios and AMS and companies Next Film sp. z o.o. and Agora Książka i Muzyka sp. z o.o.
Tomasz Jagiełło is the founder and president of the Management Board of Helios S.A., the largest cinema operator in Poland in terms of the number of cinemas. Co-founder of the company's success, from the beginning responsible for its development and strategy.
He was one of the initiators of establishing the company Next Film sp. z o.o., so that Helios S.A. has expanded its activities into film distribution market.
Anna Kryńska-Godlewska
Member of Agora’s Management Board since November 8, 2017, supervising the Finance Division, New Development Projects, Legal and Public Policy Unit, IR Unit and Compliance Team.
Anna Kryńska-Godlewska is a manager with more than twenty years of experience in the field of capital investment management. Previously, she has been associated with the Media Development Investment Fund, where she has been the Chief Investment Officer and Management Board Member, specialising in direct investments in media companies in Europe, Asia, Africa and South America for nine years.
Wojciech Bartkowiak
Journalist, editor and manager associated with “Gazeta Wyborcza” and Agora S.A. for over 30 years.
As the operational director and deputy publishing director of “Gazeta Wyborcza”, he was responsible for the business processes of the Digital and Printed Press segment and the activities of the former Print division - including its restructuring in 2018-2019. He is a co-creator of the digital transformation strategy of "Gazeta Wyborcza" based on the development of subscription to Wyborcza.pl content, as well as the creator of the business strategy and editorial concept for the development of traditional editions of "Gazeta Wyborcza".
In 1991, he started working in the Poznań editorial office of "Wyborcza", first as a journalist, then as a reporter and editor. In 1995, he became the editor-in-chief and director of the Poznań branch of “Gazeta Wyborcza”. In the years 2006-2016 he was the head of all local editorial offices of “Gazeta Wyborcza”. At that time, he co-created and coordinated many editorial social campaigns conducted by the daily teams all over Poland. From 2012, he was responsible for the budget of the editorial office of “Gazeta Wyborcza”. In 2015-2017 he was the vice-president of the Agora Foundation.
He became a member of the Management Board of the Company in April 2022 and supervises business operations digital and printed press and administrative matters. Since April 1, 2024, Wojciech Bartkowiak is a president of the management board of Wyborcza sp. z o.o., publisher of Gazeta Wyborcza and services of Wyborcza.pl.
Agnieszka Siuzdak-Zyga
Ms. Agnieszka Siuzdak-Zyga has been associated with Agora since 2006. She worked mainly in the Internet segment of the Company, successively as an editor, publisher, head of newsroom and director of news websites. Until 2018, as the director of content business growth, she co-created the development directions of Gazeta.pl, tested new business opportunities and was responsible, i.a., for marketing, SEO and business analysis. In October 2018, she took the position of the director of the Gazeta.pl division, and served as the Member of the Management Board of the Company from August 5, 2021 until August 31, 2022, supervising Internet and HR division. She was granted a joint-commercial proxy on December 4, 2023.
On April 1, 2024, she was appointed president of the management board of Gazeta.pl sp. z o.o.
Maciej Strzelecki
Maciej Strzelecki works at Agora since 2001. He previously managed radio stations in Jelenia Góra and Wałbrzych. He was the COO of the Śląsk region of the Radio Group, and then – the central region. In 2005 Maciej Strzelecki was appointed to serve as the management board member of Grupa Radiowa Agory, responsible for sales, IT and administration. Under his leadership, thanks to the reorganization of local sales and the development of brokerage activities in the agency market, Grupa Radiowa Agory recorded a significant increase in radio advertising market share and revenue growth.
He has been associated with radio since 1994, when Radio Jowisz – a radio station created by him and Jupiter Association – was launched.
He directs Eurozet Group – joined Eurozet and the Radio Group – since March 2023.
