    29/2024 Changes in the composition of the Supervisory Board of the Company

    The Management Board of Agora S.A. with its registered seat in Warsaw ("Company", “Agora”) hereby informs that on June 28, 2024, the Annual General Meeting of Agora adopted a resolution on dismissal of Mr. Tomasz Karusewicz form the composition of the Supervisory Board.

    The reasons of the dismissal were not stated.

    On the same day, the Annual General Meeting adopted a resolution on appointment of Mr. Jacek Levernes aa Member of the Supervisory Board.

    Member of the Supervisory Board Jacek Levernes was appointed was pointed in accordance with §18.3 of the Company Statutes for a 3-year joint term of office and his mandate will expire as from the date of the General Meeting of the Company which will approve the financial statement for 2025.

    Jacek Levernes is a Senior Advisor at the Boston Consulting Group, co-funder and honorary president of ABSL in Poland, president of ABSL I Brussels, member of Business Council (Rada Przedsiębiorczości), Chairman of the Supervisory Board of ICTSI Poland and Non-Executive Director at Skanska Commercial Development Europe.

    Mr. Jacek Levernes has been associated with Boston Consulting Group since the spring of 1999. Formerly, he has been i.a. head of Finteco Holding (Luxembourg), worked for 10 years at HP (as managing director and vice-president for EMEA), and worked for 7 years at Baxter International (as strategy and development director for ECEMEA).

    Mr. Jacek Levernes is not listed in the Registry of Insolvent Debtors, kept on the basis of the Act on the National Court Registry and does not participate as a board member of other competitive entity or the shareholder of competitive entity or of other legal/capital entity.

    Legal basis: § 5 point 4 and 5 in connection with from § 9 and 10 of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic information published by issuers of securities and conditions for recognizing as equivalent information required by the law of a non-member state.
