Information about the total number of shares and the number of votes attached to these shares as of the day of the notice of AGM convened for June 26th, 2015

As of the day of publication of the announcement on convening AGM the total number of shares of Agora SA amounts to 50,937,386, but the number of votes that can be exercised from these shares amounts to 64,791,826.

The difference in number of shares and votes results from:

the fact than on April 24th, 2015 the Company finalized the buyback program (total number of shares purchased during the program amounted to 3,271,960; the shares give the right to 3,271,960 votes; however the Company cannot exercise its corporate rights, including voting rights from the shares purchased in the buyback program for the purpose of their redemption), and

the privileged series A shares (5 votes per one share).
